Brent Norris provides digital consulting, web development, managed hosting, AI strategy, compliance consulting, and related technology services. Specific service terms, deliverables, and timelines are defined in individual client agreements, proposals, or statements of work.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must provide accurate and complete registration information.
• You must promptly update your information if it changes.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

All content, designs, code, graphics, logos, and other materials provided by Brent Norris are protected by intellectual property laws. Unless otherwise specified in a client agreement:

• We retain ownership of all proprietary tools, frameworks, and methodologies.
• Client-specific deliverables are transferred to the client upon full payment as defined in the applicable agreement.
• You may not reproduce, distribute, or create derivative works from our proprietary materials without written consent.

You agree not to use our services to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit any malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Engage in any activity that disrupts or interferes with our services.
• Use our services for any fraudulent, deceptive, or illegal purpose.

Payment terms are specified in individual client agreements and invoices. General payment policies include:

• Invoices are due upon receipt unless otherwise specified.
• Late payments may be subject to interest charges as permitted by applicable law.
• We reserve the right to suspend services for accounts with outstanding balances.
• All fees are non-refundable unless otherwise stated in the applicable agreement.

To the maximum extent permitted by law, Brent Norris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the total fees actually paid by you to us under the applicable statement of work or project agreement giving rise to the claim, less any non-refundable deposits, retainers, or setup fees previously received. In no event shall our aggregate liability exceed the lesser of (a) the net fees paid after deducting such non-refundable amounts, or (b) the total fees paid by you to us in the six (6) months preceding the claim.

You agree to indemnify, defend, and hold harmless Brent Norris and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

Either party may terminate the service relationship at any time with written notice, subject to the terms of any active agreement. Upon termination:

• All outstanding invoices become immediately due and payable.
• We will provide reasonable assistance to transition your data and services.
• Provisions that by their nature should survive termination (intellectual property, limitation of liability, indemnification) will remain in effect.

These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Hawaii.
